These Terms and Conditions ("Agreement") govern your participation in the abbyrose Affiliate Program ("Program"). By submitting your application and participating in the Program, you agree to be bound by these terms. This Program is for the company abbyrose, and applies to its website, www.shopabbyrose.com.
1. Enrollment in the Program
To enroll in the Program, you must complete and submit the online application. We reserve the right to approve or reject any application at our sole discretion. We may reject your application if we determine that your website or promotional methods are unsuitable for the Program, including, but not limited to, sites that:
Promote sexually explicit materials.
Promote violence.
Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Promote illegal activities.
Violate intellectual property rights.
2. Affiliate Responsibilities
As an abbyrose affiliate, you agree to:
Accurate Representation: Accurately and truthfully represent abbyrose and its products. You must not misrepresent abbyrose, its products, services, or policies.
Ethical Promotion: Promote abbyrose in a manner that is consistent with our brand image and values. This includes refraining from any improper behavior, such as spamming, unsolicited email, or any other marketing activities that could negatively impact abbyrose's reputation.
Compliance with Laws: Comply with all applicable laws and regulations, including but not limited to those governing advertising, privacy, and data protection.
No Employment Relationship: Understand and agree that you are an independent contractor and not an employee, agent, or partner of abbyrose. You are not authorized to make any commitments or incur any obligations on behalf of abbyrose.
3. Commission Structure
Commission Rate: You will earn a 10% commission on all qualifying purchases made through your personalized affiliate link.
Cookie Duration: A cookie will be placed on the user's browser for 30 days after they click on your personalized link. You will earn commission for any qualifying purchases made by that user within this 30-day period.
Qualifying Purchases: A qualifying purchase is a completed sale of an abbyrose product made directly through your personalized affiliate link. Commissions are not earned on returns or refunded sales. If an order for which you have earned commission is later refunded or canceled, we reserve the right to deduct the corresponding commission from future payments.
Payment: Payments will be processed through Refersion on a monthly basis via your selected payment method within the Refersion platform. There is no minimum payout threshold unless otherwise stated in Refersion's platform guidelines.
4. Intellectual Property
You acknowledge that abbyrose owns all intellectual property rights related to its brand, website, products, and marketing materials. You are granted a limited, non-exclusive, non-transferable license to use abbyrose's trademarks and marketing materials solely for the purpose of promoting abbyrose within the scope of this Program. You must not modify, adapt, or otherwise alter any abbyrose intellectual property without prior written consent.
5. Termination
We reserve the right to terminate your participation in the Program at any time, with or without cause, and without prior notice. Grounds for termination may include, but are not limited to, breach of these Terms and Conditions, misrepresentation, or unethical promotional practices. Upon termination, you must immediately cease all use of abbyrose's intellectual property and remove all affiliate links.
6. Limitation of Liability
abbyrose will not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with this Program or your participation in it, even if advised of the possibility of such damages. abbyrose's total liability under this Agreement will not exceed the total commissions paid to you during the three-month period preceding the event giving rise to the liability.
7. Indemnification
You agree to indemnify, defend, and hold harmless abbyrose, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your participation in the Program or your breach of these Terms and Conditions.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
9. Modifications
abbyrose reserves the right to modify these Terms and Conditions at any time. We will notify you of any changes by posting the updated terms on our website. Your continued participation in the Program after such modifications constitutes your acceptance of the revised terms.
10. Entire Agreement
This Agreement constitutes the entire agreement between you and abbyrose regarding the Affiliate Program and supersedes all prior and contemporaneous agreements, understandings, proposals, and representations, whether written or oral.
